If you opened up our Bylaws file, and were confused by all of the legal language, we were too! So we ran our Bylaws through Chat GBT and asked it to rewrite them in plain language terms, and here is what it says:

Compensation

However, they may be reimbursed for approved expenses they personally incur while carrying out FODAC business.
Meetings
Regular Meetings
The Board will meet at least four times during the school year.
Special Meetings
Special meetings may be called by:
- The President, or
- Any two directors
Notice
Meeting notices should be sent at least 48 hours in advance, usually by email.
Virtual Meetings
Meetings may be held:
- In person
- Online
- Or a combination of both
Anyone attending virtually is considered fully present.
Actions Without a Meeting
The Board may approve an action without holding a meeting if all directors agree in writing, including by email.
Officers
FODAC must have at least these three officers:
- President
- Secretary
- Treasurer
The Board may create additional officer positions if needed.
Officer Responsibilities
President
- Leads the organization
- Runs meetings
- Serves as the main contact with school administration
Secretary
- Keeps meeting minutes
- Maintains important records
Treasurer
- Oversees finances
- Provides financial reports to the Board
- Helps ensure compliance with financial requirements
Terms
Officers are elected annually and serve one-year terms.
Committees
The Board may create committees as needed.
Committees generally make recommendations and assist with projects. The Board retains final decision-making authority unless specific authority is delegated.
Financial Management

FODAC will maintain appropriate insurance coverage.

Changes to the Bylaws
The bylaws may be changed by a majority vote of the Board.
Board members must receive at least 5 days' notice before voting on a proposed change.
